THE DEAL: Black & Decker and Stanley Works shareholders approved the $3.5 billion merger of the two tool companies.
NEW STRUCTURE: Under the all-stock deal, Stanley Works shareholders will control about 50.5 percent of the new company, while Black & Decker's will own 49.5 percent. The new company will be called Stanley Black & Decker.
NEW HOME: Stanley Black & Decker will be headquartered in New Britain, Conn., where Stanley Works now operates. The company's power tool division will remain headquartered in Towson, Md., which Black & Decker calls home.![]()
